KupidTV End User License Agreement

1. DEFINITIONS

For the purposes of this Agreement, the following terms shall have the meanings set forth below:

1.1 "KupidTV," "we," "us," "our" — refers to Kupid, Inc., a Delaware corporation, including its affiliates, officers, directors, employees, contractors, agents, successors, and assigns.

1.2 "Platform" — means the KupidTV web-based application, website, live event streaming services, and all related features, content, software, and technologies, whether accessed via browser, mobile device, or other interface.

1.3 "User," "you," "your" — means any person who accesses, uses, or participates in any part of the Platform, including without limitation as a viewer, participant, contestant, or live event attendee.

1.4 "Content" — means all video, audio, text, images, names, likenesses, voices, performances, school affiliations, usernames, messages, and any other material created, displayed, transmitted, or otherwise made available on or through the Platform, whether generated by you, other users, or KupidTV.

1.5 "Live Event" — means any in-person dating show, competition, or performance organized, hosted, or streamed by KupidTV, whether occurring on a college campus, in another physical venue, or in a private location.

1.6 "Publicity Rights" — means all rights of publicity, privacy, moral rights, and any other rights related to the use of a person’s name, image, likeness, voice, school affiliation, biographical information, and performance.

1.7 "Services" — collectively refers to the Platform, Live Events, community features, and any other service provided by KupidTV.

2. ACCEPTANCE OF TERMS

2.1 Binding Agreement — By accessing, using, registering for, or participating in the Platform or any Live Event, you:
(a) affirm that you have read, understood, and agree to be bound by this End User License Agreement (“Agreement”);
(b) agree that this Agreement is enforceable as a legally binding contract; and
(c) acknowledge that this Agreement contains important waivers of rights, including limitations of liability, indemnification obligations, and mandatory arbitration provisions.

2.2 Electronic Consent — You consent to the use of electronic records and signatures for all purposes under this Agreement. You agree that clicking “I Agree,” “Accept,” or similar buttons, or continuing to use the Platform, constitutes your electronic signature and agreement to be bound.

2.3 Updates — We may modify this Agreement at any time in our sole discretion. Updated versions will be posted on the Platform with a revised “Last Updated” date. Continued use of the Platform after the posting of changes constitutes acceptance of the revised Agreement.

2.4 No Access Without Consent — If you do not agree to this Agreement in its entirety, you must immediately cease all use of the Platform and may not attend, participate in, or appear in any Live Event.

3. ELIGIBILITY & VERIFICATION

3.1 Minimum Age Requirement — You must be at least 18 years old to create an account, participate in the Platform, or appear in any Live Event. By using the Platform, you represent and warrant that you meet this age requirement.

3.2 Student Status Verification —
(a) Certain features, including participation in live matchups and Live Events, are intended exclusively for currently enrolled college or university students.
(b) We may require verification through institutional email addresses, third-party verification providers, or other means, but we make no guarantee that such verification methods will prevent unauthorized access.
(c) False Claims — If you falsely represent your status or identity to gain access, you do so entirely at your own risk and agree to indemnify, defend, and hold harmless KupidTV from any resulting claims, damages, or liabilities.

3.3 Bypassing Security Measures — Any attempt to circumvent our verification systems, security protocols, or age restrictions is strictly prohibited and constitutes a material breach of this Agreement.
We are not liable for any harm caused by individuals who gain access by bypassing these measures, including if such individuals engage in harassment, illegal activity, or other prohibited conduct.

3.4 Non-Student Access Disclaimer —
(a) You acknowledge that despite our reasonable efforts, non-students may access the Platform or participate in Live Events.
(b) You expressly waive any right to hold KupidTV liable for harm, offense, injury, emotional distress, or other damages arising from the actions of such individuals.
(c) In the event of misconduct, our sole obligation is to take reasonable action to remove the violating party and, if applicable, report them to law enforcement or relevant authorities.

3.5 Parental/Guardian Consent for Minors — If we allow exceptions for participants under 18 (e.g., local campus policy), written consent from a parent or legal guardian must be provided. The consenting parent/guardian assumes all liability for the minor’s use of the Platform or participation in Live Events.

3.6 Right to Deny or Terminate Access — KupidTV reserves the right to refuse registration, deny participation, or terminate any user account at any time for any reason, including failure to meet eligibility criteria or suspicion of false representation.

4. RIGHTS GRANTED TO KUPIDTV

4.1 License Grant — By using the Platform, participating in any Live Event, or otherwise submitting or appearing in any Content, you hereby grant KupidTV, its affiliates, licensees, successors, assigns, and partners a perpetual, irrevocable, worldwide, royalty-free, fully paid, sublicensable, and transferable license to:
(a) use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, transmit, publicly perform, publicly display, broadcast, and otherwise exploit such Content, in whole or in part, in any manner and in any media now known or hereafter devised; and
(b) use your name, likeness, image, voice, biographical information, school name, and other personal attributes (collectively, “Personal Attributes”) for any purpose consistent with the operation, marketing, promotion, or monetization of the Platform or Live Events.

4.2 Commercial Use — This license expressly includes the right for KupidTV to:
(a) monetize Content and Personal Attributes through advertising, sponsorships, paid partnerships, and merchandise;
(b) sublicense Content and Personal Attributes to third parties (including media partners, streaming platforms, sponsors, advertisers, and merchandise vendors); and
(c) use Content and Personal Attributes in promotions, press releases, investor materials, presentations, and other business-related communications.

4.3 No Revenue Share or Further Consent —
(a) You acknowledge and agree that you are not entitled to any royalties, fees, or other compensation arising from any use of your Content or Personal Attributes as described herein.
(b) You waive any right to inspect, approve, or receive notice of any use of your Content or Personal Attributes by KupidTV.

4.4 Derivative Works — KupidTV may create and exploit derivative works based on your Content and/or Personal Attributes, including edited clips, compilations, highlight reels, GIFs, memes, merchandise designs, or other creative formats, without your review, approval, or additional consent.

4.5 Moral Rights Waiver — To the fullest extent permitted by law, you irrevocably waive any and all moral rights or similar rights you may have in your Content and Personal Attributes, including the right to be identified as the author or object to derogatory treatment of such Content.

4.6 Data Sharing with Law Enforcement or Institutions — You acknowledge and agree that KupidTV may disclose your Content, Personal Attributes, and account data to law enforcement, educational institutions, or other authorized entities if we believe, in our sole discretion, that such disclosure is necessary or appropriate to:
(a) comply with applicable law, regulation, legal process, or governmental request;
(b) investigate, prevent, or address potential violations of this Agreement or our Code of Conduct; or
(c) protect the rights, property, or safety of KupidTV, its users, or the public.

4.7 Survival — The rights granted to KupidTV under this Section survive any termination, suspension, or deactivation of your account or cessation of your use of the Platform.

Here’s Section 5: Limitation of Liability & Indemnification — built to make it as close to impossible as legally defensible for anyone to successfully sue KupidTV, even in off-stream, unauthorized, or third-party situations.

5. LIMITATION OF LIABILITY & INDEMNIFICATION

5.1 No Liability for User Conduct —
You acknowledge and agree that KupidTV is not responsible or liable for:
(a) the actions, statements, or conduct (whether online or offline) of any user, participant, viewer, or third party;
(b) any interactions you have with other users, whether during live broadcasts, in private chats, or outside the Platform; or
(c) any content, materials, or communications posted, transmitted, or otherwise made available by other users.

5.2 Unauthorized or Misrepresented Access —
You acknowledge that KupidTV uses commercially reasonable measures to verify user eligibility (e.g., student status) but cannot guarantee that all users meet such eligibility requirements. KupidTV is not liable for any harm, damage, or loss caused by:
(a) individuals who misrepresent their identity, age, or student status;
(b) individuals who gain access through fraudulent, unauthorized, or deceptive means; or
(c) any consequences of interacting with such individuals.

5.3 Assumption of Risk —
You voluntarily assume all risks associated with participating in the Platform or Live Events, including but not limited to:
(a) exposure to potentially offensive, inappropriate, or harmful content;
(b) physical, emotional, or reputational harm;
(c) contact with individuals who may engage in unlawful, unsafe, or harassing behavior; and
(d) participation in public broadcasts and the resulting public visibility of your likeness and personal information.

5.4 No Warranties —
The Platform, Live Events, and all content are provided “as is” and “as available” without warranties of any kind, whether express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability.

5.5 Limitation of Damages —
To the fullest extent permitted by applicable law:
(a) KupidTV shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation loss of profits, goodwill, data, or other intangible losses, arising out of or in connection with your use of (or inability to use) the Platform or Live Events;
(b) KupidTV’s total liability to you for any claims, damages, losses, or liabilities shall not exceed USD $100, regardless of the cause or theory of liability.

5.6 Indemnification by User —
You agree to defend, indemnify, and hold harmless KupidTV, its affiliates, officers, directors, employees, agents, licensors, successors, and assigns from and against any and all claims, demands, actions, suits, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
(a) your participation in the Platform or Live Events;
(b) your violation of this Agreement or our Code of Conduct;
(c) your interactions with other users, whether online or offline;
(d) any content you submit, transmit, or display; and
(e) your violation of any law, regulation, or the rights of any third party.

5.7 Third-Party Claims —
If any claim, suit, or action is brought against KupidTV by a third party (including another user, a university, or a law enforcement agency) due to your conduct, content, or participation, you will:
(a) promptly assume full responsibility for the defense;
(b) reimburse KupidTV for all costs, settlements, and damages incurred; and
(c) fully cooperate with KupidTV’s legal team as reasonably requested.

5.8 Survival —
The limitations, disclaimers, and indemnification obligations in this Section survive any termination or expiration of this Agreement and apply indefinitely.

6. CODE OF CONDUCT & PROHIBITED BEHAVIOR

6.1 General Conduct Expectations —
By participating in KupidTV’s Platform or Live Events, you agree to conduct yourself in a lawful, respectful, and safe manner at all times. You further agree to comply with all applicable laws, this Agreement, and any posted rules, instructions, or policies from KupidTV or its representatives.

6.2 Prohibited Behavior —
The following actions are strictly prohibited while using the Platform or participating in Live Events (including pre-show and post-show interactions, private chats, or any related activity):

(a) Illegal or Unlawful Activity — Engaging in any activity that violates applicable local, state, federal, or international laws, including harassment, stalking, assault, defamation, fraud, or intellectual property infringement.

(b) Harassment and Abuse — Threatening, bullying, harassing, intimidating, or otherwise targeting another participant, viewer, staff member, or third party in any manner, whether based on race, gender, sexual orientation, religion, disability, ethnicity, nationality, or any other protected status.

(c) Inappropriate or Explicit Content — Displaying or transmitting sexually explicit, pornographic, obscene, violent, or otherwise offensive content or conduct, whether in live streams, chats, private calls, or in-person.

(d) Misrepresentation — Falsifying your identity, age, student status, school affiliation, or any other eligibility requirement to gain access to the Platform or Live Events.

(e) Dangerous or Harmful Conduct — Engaging in behavior that could reasonably be expected to endanger your own safety or the safety of others, including but not limited to physical altercations, reckless stunts, or incitement of violence.

(f) Unauthorized Commercial Activity — Promoting, advertising, or selling products, services, or brands without prior written authorization from KupidTV.

(g) Unauthorized Recording or Redistribution — Recording, copying, rebroadcasting, or otherwise distributing KupidTV content (including other users’ content) without express written consent from KupidTV.

(h) Circumventing Access Controls — Using VPNs, proxy servers, stolen credentials, hacked accounts, or other deceptive means to bypass geographic, age, or student verification requirements.

6.3 Enforcement Rights —
KupidTV reserves the absolute right, in its sole discretion and without prior notice, to:
(a) remove, block, or restrict any content you provide;
(b) suspend or permanently terminate your account;
(c) ban you from future participation in Live Events;
(d) notify and cooperate with universities, employers, or law enforcement regarding your conduct; and
(e) pursue any legal remedies available.

6.4 Reporting Misconduct —
If you witness or experience any misconduct by another participant or user, you agree to promptly report it through KupidTV’s designated reporting channels. KupidTV will review reports in its sole discretion and is not obligated to provide you with the outcome of any review.

6.5 Responsibility for Off-Platform Conduct —
You acknowledge and agree that your conduct toward other participants is your sole responsibility, even if such conduct occurs outside the Platform or Live Events (e.g., meeting in person after connecting on KupidTV, social media communications, etc.). KupidTV has no liability for, and assumes no responsibility in connection with, any off-platform interactions.

6.6 No Expectation of Privacy —
While using the Platform or participating in Live Events, you have no expectation of privacy in any communication, performance, or appearance. Your activity may be monitored, recorded, and publicly broadcast by KupidTV at its sole discretion.

6.7 Survival —
This Section survives any termination or suspension of your account and remains enforceable indefinitely.

7. PUBLICITY RIGHTS & CONTENT OWNERSHIP

7.1 Grant of Rights —
By using the Platform or participating in any Live Event, you irrevocably grant KupidTV, its affiliates, licensees, successors, and assigns, the perpetual, worldwide, royalty-free, fully sublicensable right and license to record, reproduce, modify, adapt, publish, distribute, publicly perform, publicly display, create derivative works from, broadcast, and otherwise exploit, in whole or in part, your:

• Gestures, mannerisms, and performance
  
  

• Statements, remarks, and interactions

…in any and all media formats, whether now known or later developed, including but not limited to television, film, streaming services, social media, websites, mobile apps, print, merchandise, advertising, and promotional materials, for any lawful purpose, including commercial purposes, without further notice, review, approval, consent, or compensation to you.

7.2 Content Ownership —
All video, audio, photographic, textual, and other content (collectively, “Content”) captured, submitted, recorded, or otherwise made available during your participation in the Platform or Live Events shall be deemed “Work Made for Hire” under U.S. copyright law, with KupidTV as the exclusive author and copyright owner. To the extent any such Content does not qualify as Work Made for Hire, you hereby irrevocably assign, transfer, and convey to KupidTV all right, title, and interest, including all copyrights, trademarks, publicity rights, and other intellectual property rights, in and to the Content, without limitation or restriction.

7.3 No Revenue Sharing —
You acknowledge and agree that KupidTV may monetize the Content in any manner it chooses, including without limitation through advertising, sponsorships, syndication, licensing, merchandise sales, or any other revenue-generating arrangement, without any obligation to compensate you or share any portion of the revenue.

7.4 Moral Rights Waiver —
To the maximum extent permitted by applicable law, you hereby irrevocably waive any and all moral rights, rights of attribution, rights of integrity, and any similar rights you may have in the Content, and agree not to assert any such rights against KupidTV or its licensees.

7.5 Editing and Alteration —
You acknowledge and agree that KupidTV has the sole discretion to edit, adapt, crop, combine, rearrange, or otherwise modify the Content, and to portray you in any manner it deems appropriate, including fictionalized or dramatized depictions, without any obligation to you.

7.6 Unrestricted Media Use —
The rights granted herein include the unrestricted right to use the Content, in whole or in part, in perpetuity, in any media and in any territory worldwide, whether for editorial, commercial, entertainment, educational, or promotional purposes.

7.7 Release of Claims —
You hereby release, discharge, and hold harmless KupidTV, its affiliates, licensees, successors, assigns, officers, directors, employees, agents, and representatives from any and all claims, demands, causes of action, liabilities, and damages arising out of or in connection with the use of the Content as permitted herein, including but not limited to claims for defamation, invasion of privacy, right of publicity, or infringement of intellectual property rights.

7.8 Survival —
This Section survives any termination or suspension of your account and remains enforceable indefinitely.

8. ELIGIBILITY, VERIFICATION & UNAUTHORIZED ACCESS

8.1 Eligibility Requirements —
Participation in KupidTV’s interactive features and Live Events is intended solely for currently enrolled college or university students who meet all criteria set forth in this Agreement and any applicable participation guidelines. By using the Platform or participating in any Live Event, you represent and warrant that you:
(a) are at least 18 years old;
(b) are currently enrolled as a student in a college or university;
(c) have truthfully provided all required registration information; and
(d) are not prohibited from using the Platform under applicable law.

8.2 Verification Procedures —
KupidTV reserves the right, but has no obligation, to verify user eligibility through any means it deems appropriate, including without limitation:
(a) requiring proof of enrollment, student ID, or institutional email verification;
(b) using third-party verification services; and/or
(c) conducting random or targeted eligibility audits.

8.3 No Guarantee of Verification —
You acknowledge and agree that KupidTV does not and cannot guarantee that all users meet eligibility requirements. You expressly assume all risks associated with interacting with other users whose status as students may be false, misrepresented, or unverifiable.

8.4 Unauthorized Access & Bypass of Security Measures —
If any individual who does not meet eligibility requirements gains access to the Platform, whether by providing false information, using another person’s account, exploiting technical vulnerabilities, or bypassing security measures, KupidTV shall bear no liability for any acts, omissions, statements, or conduct by such individual.

8.5 Interacting with Non-Eligible Users —
You acknowledge and agree that any interaction you have with a non-eligible user—whether live on the Platform, during a Live Event, or via any communication initiated through the Platform—shall be at your sole risk. KupidTV expressly disclaims any responsibility for harm, loss, injury, harassment, or damages of any kind arising from such interactions.

8.6 Reporting Unauthorized Users —
If you become aware of any user who does not meet eligibility requirements, you agree to promptly notify KupidTV. Failure to report such users does not create any liability on the part of KupidTV.

8.7 Termination for Ineligibility —
KupidTV may, in its sole discretion, suspend or terminate any account found to be ineligible, and may remove any associated Content, without prior notice or liability.

8.8 Release of Claims —
You hereby release and hold harmless KupidTV, its affiliates, officers, employees, contractors, and agents from any and all claims, demands, liabilities, damages, or losses, whether direct or indirect, arising out of or related to:
(a) the participation of non-eligible users on the Platform;
(b) any interaction between you and such users; or
(c) any failure by KupidTV to verify user eligibility.

8.9 Survival —
This Section shall survive the termination of your account and remain in full force and effect indefinitely.

9. ASSUMPTION OF RISK, RELEASE & INDEMNIFICATION

9.1 Voluntary Participation & Assumption of Risk
By accessing or using the Platform, participating in any Live Event, interacting with other users, or engaging in any activity facilitated by KupidTV, you acknowledge and agree that:
(a) all participation is voluntary;
(b) you are solely responsible for assessing and assuming any and all risks, whether known or unknown, foreseeable or unforeseeable, associated with your participation;
(c) such risks include, without limitation, risks of harassment, verbal abuse, exposure to offensive or explicit content, embarrassment, reputational harm, emotional distress, defamation, fraud, physical harm, illness, property damage, and any other potential loss or injury; and
(d) you knowingly and freely accept full responsibility for all such risks.

9.2 No Duty to Protect or Intervene
You understand and agree that KupidTV is not responsible for monitoring or policing user interactions, whether live-streamed, pre-recorded, text-based, or offline, and has no duty to intervene or prevent harm, except as required by law.

9.3 General Release of Claims
To the maximum extent permitted by law, you hereby irrevocably and unconditionally release, waive, and discharge KupidTV, its parent, subsidiaries, affiliates, officers, directors, employees, contractors, representatives, successors, and assigns (collectively, the “Released Parties”) from any and all claims, demands, damages, liabilities, costs, expenses, or causes of action of any kind or nature, whether known or unknown, suspected or unsuspected, disclosed or undisclosed, arising out of or related to your:
(a) use of or inability to use the Platform;
(b) participation in any Live Event or interaction facilitated by KupidTV;
(c) contact with other users, whether online or offline;
(d) reliance on any content, communications, or representations made on or through the Platform; and
(e) exposure to or participation in any conduct or content that you may deem harmful, offensive, unlawful, or inappropriate.

9.4 Waiver of Unknown Claims
You expressly waive any protections or benefits afforded by Section 1542 of the California Civil Code or any similar law in any other jurisdiction, which provides that a general release does not extend to claims which a party does not know or suspect to exist in their favor at the time of executing the release. You acknowledge that you may later discover claims or facts in addition to or different from those which you now know or believe to exist, but you expressly agree to assume all risks associated with such additional or different claims or facts.

9.5 Indemnification by Users
You agree to defend, indemnify, and hold harmless the Released Parties from and against any and all claims, demands, suits, proceedings, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
(a) your access to or use of the Platform;
(b) your participation in any Live Event;
(c) any interaction, transaction, or communication between you and any other user, whether initiated on or off the Platform;
(d) any breach or alleged breach of this Agreement by you;
(e) any violation of applicable law by you; or
(f) any infringement or misappropriation of any third-party rights by you, including without limitation intellectual property rights, rights of publicity, and privacy rights.

9.6 Third-Party Claims
If any claim, demand, or action is brought against the Released Parties by another user, a third party, or any governmental entity due to your conduct, content, or participation, you shall be solely responsible for the defense and resolution of such claim, including the payment of all judgments, settlements, and related expenses.

9.7 Survival
All provisions of this Section shall survive the termination or expiration of this Agreement and your account, and remain in full force and effect indefinitely.

10. CONTENT OWNERSHIP & PUBLICITY RIGHTS

10.1 Grant of Rights
By participating in any Live Event, appearing on the Platform, submitting content, or otherwise engaging in any activity facilitated by KupidTV, you hereby irrevocably grant to KupidTV, its parent, subsidiaries, affiliates, licensees, successors, and assigns (collectively, the “Licensed Parties”) a worldwide, perpetual, irrevocable, royalty-free, fully paid-up, sublicensable, and transferable license to use, reproduce, distribute, publicly display, publicly perform, transmit, stream, broadcast, adapt, modify, edit, translate, create derivative works from, and otherwise exploit, in whole or in part, in any manner or medium now known or hereafter devised, for any commercial or non-commercial purpose, without limitation or further approval, all of the following (collectively, the “Licensed Materials”):

(a) your name, nickname, username, likeness, image, voice, gestures, school affiliation, biographical information, personal attributes, and any other identifiable characteristics;
(b) any and all video, audio, photographic, text-based, or other content created, captured, recorded, or transmitted by or of you during your participation in or in connection with the Platform or any Live Event; and
(c) any performance, appearance, or participation by you, including any reactions, expressions, statements, or conduct.

10.2 Scope of Use
You expressly agree that the Licensed Parties may, without further notice or compensation to you:
(a) monetize your appearance through advertising, sponsorships, brand integrations, paid partnerships, subscriptions, pay-per-view, merchandise, or any other revenue-generating activities;
(b) use Licensed Materials in any marketing, publicity, advertising, sponsorship, partnership, or merchandising campaign, including in connection with third-party brands;
(c) edit, alter, composite, or otherwise modify Licensed Materials, including combining them with other images, text, graphics, audio, or video, without restriction; and
(d) publish or repurpose Licensed Materials across any media, including television, streaming platforms, digital video channels, social media, print, outdoor advertising, live events, merchandise, and future distribution methods not yet in existence.

10.3 No Revenue Share
You understand and agree that you shall have no right to any royalties, proceeds, revenue share, or other compensation arising from the use or exploitation of Licensed Materials, regardless of the manner or extent of such use.

10.4 Waiver of Moral Rights
To the fullest extent permitted by law, you hereby waive any and all claims based on moral rights, rights of attribution, rights of integrity, rights of approval, or any similar rights, whether arising under statute, common law, or otherwise, in connection with Licensed Materials.

10.5 Ownership of Platform Content
All rights, title, and interest in and to the Platform, including all content created, recorded, or transmitted on or through it (excluding only content licensed from third parties), are and shall remain the exclusive property of KupidTV and/or its licensors.

10.6 Perpetuity & Transferability
This grant of rights is perpetual, irrevocable, and transferable, and shall survive the termination of your account, the expiration of this Agreement, and any subsequent changes to your participation status.

10.7 Publicity Consent
You consent to the use of Licensed Materials for purposes of trade, advertising, promotion, sponsorship, partnership, brand integration, and merchandising, in connection with KupidTV and any of its affiliates, brands, or partners, without further approval or compensation.

11. DATA DISCLOSURE TO LAW ENFORCEMENT, SCHOOLS, AND THIRD PARTIES

11.1 Right to Disclose
You acknowledge and agree that KupidTV, in its sole and absolute discretion, may access, preserve, and disclose your account information, communications, content, and any other data (collectively, “User Data”) to:
(a) any law enforcement agency, regulatory authority, or governmental body;
(b) any educational institution or school administration;
(c) any third party assisting in the investigation of potential violations;
(d) any party necessary to protect the rights, property, or safety of KupidTV, its affiliates, its users, or the public.

11.2 Grounds for Disclosure
Such disclosure may occur, without limitation, in the event that KupidTV believes, in its sole judgment, that:
(a) you have violated applicable law, regulation, or ordinance;
(b) you have engaged in conduct that may endanger any individual or group;
(c) you have violated these Terms of Use, the EULA, or any applicable policy;
(d) disclosure is required to respond to legal process, court orders, or lawful requests; or
(e) disclosure is otherwise necessary to protect KupidTV’s interests, legal standing, or business operations.

11.3 No Obligation to Notify
KupidTV shall have no obligation to provide you with advance notice or post-disclosure notice of any such access, preservation, or disclosure, unless required by applicable law.

11.4 No Liability for Disclosure
To the fullest extent permitted by law, you release KupidTV, its parent, subsidiaries, affiliates, licensees, successors, assigns, officers, directors, employees, and agents from any and all liability, claims, or damages arising from any access to, preservation of, or disclosure of your User Data made in accordance with this Section.

11.5 Voluntary Cooperation
You expressly agree that KupidTV may cooperate voluntarily with law enforcement, educational institutions, and other authorized parties in the investigation and prosecution of suspected illegal activities, violations of school policy, or breaches of this Agreement, without requiring formal legal process.

11.6 Retention of Data
You acknowledge that KupidTV may retain User Data for as long as necessary for operational, legal, compliance, or security purposes, even after your account is terminated.

12. ELIGIBILITY, IDENTITY VERIFICATION, AND BYPASS LIABILITY WAIVER

12.1 Eligibility Requirements
Access to and participation in KupidTV is intended solely for individuals who:
(a) are currently enrolled students at an accredited college or university;
(b) are at least eighteen (18) years of age; and
(c) meet all other criteria set forth in this Agreement and related policies.

12.2 Verification Process
KupidTV may, but is not obligated to, implement identity and/or eligibility verification measures, including but not limited to:
(a) requiring proof of enrollment;
(b) requiring government-issued identification;
(c) using third-party verification services; or
(d) employing automated detection tools.

12.3 No Guarantee of Verification
You acknowledge and agree that no verification method is infallible and that ineligible individuals may, through fraudulent, deceptive, or technically manipulative means, gain access to the KupidTV platform despite KupidTV’s reasonable efforts.

12.4 Assumption of Risk
By using the platform, you assume all risk associated with interactions—whether live, recorded, public, or private—with any user, regardless of that user’s eligibility status. You expressly release and discharge KupidTV from any liability arising from interactions with individuals who:
(a) are not college students;
(b) are under the minimum required age; or
(c) otherwise fail to meet eligibility criteria.

12.5 No Liability for Misrepresentation
KupidTV shall not be responsible or liable for any harm, injury, damage, loss, or claim arising out of or related to:
(a) the participation of an ineligible user;
(b) the failure of the verification process to detect such ineligibility; or
(c) any acts, omissions, statements, or content generated by such ineligible user.

12.6 Waiver of Claims
You irrevocably waive, to the fullest extent permitted by law, any and all claims against KupidTV, its parent, subsidiaries, affiliates, officers, directors, employees, agents, and contractors for any damages, whether direct, indirect, incidental, consequential, or punitive, arising from or related to any interaction with an ineligible user.

12.7 Indemnification
You agree to indemnify, defend, and hold harmless KupidTV and its affiliates from and against any and all claims, actions, suits, proceedings, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising from:
(a) your failure to comply with eligibility requirements;
(b) your participation in activities with ineligible users; or
(c) any third-party claims based on such participation.

13. CONTENT OWNERSHIP AND PUBLICITY RIGHTS

13.1 Grant of Rights
By participating in any KupidTV activity, whether live, recorded, public, or private, you irrevocably grant to KupidTV, its successors, licensees, assigns, affiliates, and authorized partners (collectively, “KupidTV Entities”), a worldwide, perpetual, irrevocable, royalty-free, fully sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, transmit, publicly perform, publicly display, and otherwise exploit, in whole or in part, in any and all media now known or hereafter devised, for any commercial or non-commercial purpose, without restriction, and without further notice, review, or approval, and without any obligation of compensation to you:

(a) Your name, stage name, username, and any pseudonyms used on the platform;
(b) Your voice, likeness, image, physical appearance, gestures, and mannerisms;
(c) Your school name, major, class year, and other publicly shareable educational affiliation details;
(d) Any biographical information you provide or that can be inferred from your participation;
(e) All content, video, audio, images, text, performances, and interactions created or generated by you on or through KupidTV, including private interactions, chat messages, and non-broadcasted sessions to the extent permitted by law;
(f) Any derivative works, compilations, or edits made by KupidTV from such materials.

13.2 No Revenue Sharing
You acknowledge and agree that KupidTV may monetize your participation and related content—including, but not limited to, through advertising, sponsorships, merchandising, paid partnerships, subscription access, pay-per-view, brand integrations, and other commercial channels—without any obligation to provide you with compensation, royalties, revenue share, or accounting.

13.3 Merchandising Rights
You expressly grant KupidTV the right to incorporate your name, likeness, image, and/or other identifying attributes into merchandise, promotional items, and branded products, whether physical or digital, and to sell, license, or otherwise distribute such merchandise without further consent or compensation.

13.4 Sublicensing
KupidTV may sublicense any and all rights granted herein to third parties, including advertisers, sponsors, media outlets, production companies, and distribution platforms, without limitation.

13.5 Waiver of Moral Rights
To the maximum extent permitted by law, you waive any and all moral rights or similar rights of authorship in connection with your content and participation, including rights of attribution and integrity.

13.6 Publicity Consent
You hereby consent to the use of your name, likeness, voice, school affiliation, personal attributes, and participation in connection with KupidTV’s marketing, advertising, promotional, and commercial exploitation efforts across any media channels, including but not limited to broadcast television, streaming services, social media platforms, online video services, print publications, and outdoor advertising.

13.7 No Right to Rescind
Once granted, the rights and licenses herein cannot be revoked, terminated, or rescinded by you for any reason, including but not limited to your withdrawal from the platform, deletion of your account, or discontinuation of participation.

14. USER DATA & LAW ENFORCEMENT COOPERATION

14.1 Data Collection and Retention
You acknowledge and agree that KupidTV may collect, store, process, and retain any and all information associated with your account and activity on the platform, including but not limited to:
(a) Account registration data, including your name, email address, school information, and IP address;
(b) Any content, messages, video, and audio generated or transmitted through the platform (including private, non-public, and non-broadcast sessions);
(c) Device, browser, geolocation, and usage metadata;
(d) Logs of all interactions with other users, system events, and administrative actions.

KupidTV retains the right, but not the obligation, to maintain such records for as long as deemed necessary for operational, legal, compliance, security, or archival purposes.

14.2 Cooperation with Law Enforcement and Academic Institutions
You expressly consent to KupidTV sharing any collected information, including personal data and activity logs, with:
(a) Law enforcement authorities upon lawful request or when KupidTV, in its sole discretion, determines that such disclosure is necessary to comply with applicable laws, regulations, or legal processes;
(b) Academic institutions (including your school or university) when KupidTV determines that your conduct has violated institutional rules, student codes of conduct, or poses a safety risk to students, faculty, or campus operations;
(c) Other relevant authorities when necessary to prevent, investigate, or address possible illegal activities, suspected fraud, safety threats, or violations of KupidTV’s Code of Conduct.

14.3 Voluntary Disclosure by KupidTV
You acknowledge that KupidTV may voluntarily disclose any information collected to the entities described in Section 14.2 without requiring a subpoena, court order, or formal legal demand, where KupidTV determines such disclosure is necessary to protect the safety, rights, or property of KupidTV, its users, or third parties.

14.4 No Liability for Disclosure
You waive and release KupidTV, its affiliates, officers, employees, and agents from any and all claims, liabilities, or damages arising from KupidTV’s disclosure of your information in accordance with this Section.

14.5 User Notification
KupidTV may, but is not obligated to, notify you if your information is disclosed pursuant to this Section, except where prohibited by law or when KupidTV determines that providing such notice could create a risk of harm, interference, or obstruction to an ongoing investigation.

15. PUBLICITY RIGHTS AND CONTENT USAGE

15.1 Grant of Rights
By participating in KupidTV, including but not limited to appearing in any live or recorded sessions, you irrevocably grant KupidTV, its affiliates, licensees, successors, and assigns, a perpetual, worldwide, royalty-free, fully transferable, sublicensable, and irrevocable license to:

(a) Use, reproduce, distribute, publicly perform, publicly display, transmit, stream, broadcast, synchronize, publish, adapt, modify, translate, create derivative works from, and otherwise exploit, in any and all media now known or hereafter devised, without limitation as to manner, means, or format, your name, username, image, likeness, voice, biographical information, school name, and other personal attributes that you provide or that are captured in connection with your participation on KupidTV;

(b) Monetize your participation through advertising, sponsorships, subscriptions, pay-per-view, merchandise, licensing, syndication, promotional campaigns, or any other commercial arrangement, without any obligation to provide you with notice, accounting, payment, or revenue share;

(c) Use your appearance, likeness, and related content in connection with the advertising, marketing, promotion, distribution, sponsorship, or merchandising of KupidTV, its partners, or third parties.

15.2 No Compensation
You acknowledge and agree that you shall receive no compensation of any kind, monetary or otherwise, for the use of your likeness, voice, image, name, school, or any other personal attribute as contemplated herein. You expressly waive any claims to royalties, residuals, profit participation, or any other payment arising from the use or exploitation of your likeness, participation, or content. This waiver applies regardless of the revenue or profit generated by KupidTV or its partners from such use.

15.3 No Additional Consent Required
You expressly waive any right to approve, inspect, or receive notice of any use contemplated in Section 15.1. You understand and agree that KupidTV may edit, juxtapose, or otherwise modify your appearance, voice, or likeness, and that such modifications may be combined with other materials, content, graphics, or voices, in any lawful manner.

15.4 Moral Rights Waiver
To the fullest extent permitted by applicable law, you irrevocably waive and agree never to assert any and all moral rights, rights of attribution, integrity, or similar rights in connection with any use of your likeness, voice, or personal attributes as described herein.

15.5 No Obligation to Use
Nothing in this Agreement obligates KupidTV to use your likeness, name, voice, or personal attributes, or to exercise any of the rights granted herein.

16. Binding Arbitration and Class Action Waiver

16.1 Agreement to Arbitrate. You and Kupid, Inc. (“Company”) agree that any dispute, claim, or controversy arising out of or relating in any way to these Terms, your access to or use of the Platform, any interaction or transaction with the Company, or any publicity, intellectual property, or privacy rights associated with the Platform (collectively, “Disputes”) will be resolved exclusively through final and binding individual arbitration, rather than in court, except as otherwise expressly provided in these Terms.

16.2 Federal Arbitration Act. This arbitration agreement is governed by the Federal Arbitration Act (FAA), 9 U.S.C. §§ 1-16, and will survive termination of your relationship with the Company.

16.3 Arbitration Procedures. Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect, except as modified herein. The arbitration will be conducted by a single arbitrator located in Wilmington, Delaware, USA. All proceedings will be in English. The arbitrator has the authority to grant any relief that would be available in court, except that no damages may exceed the limitations set forth in Section 12 of these Terms.

16.4 No Class or Representative Actions. YOU AND COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL PROCEEDING.

16.5 Waiver of Jury Trial. By agreeing to arbitration, you waive any right to a trial by jury for any and all Disputes.

17. Governing Law and Venue

17.1 Governing Law. These Terms and any Dispute will be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.

17.2 Exclusive Venue. To the extent any claim is permitted to be brought in court (and is not subject to arbitration), you and Company agree that such claim will be brought exclusively in the state or federal courts located in Wilmington, Delaware, USA, and you consent to the personal jurisdiction of such courts for the purposes of litigating such claims.

18. Limitation of Liability and Damages Cap

18.1 Maximum Liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

18.2 Total Liability Cap. IN NO EVENT WILL COMPANY’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE GREATER OF ONE U.S. DOLLAR ($1.00) OR THE AMOUNT YOU PAID DIRECTLY TO COMPANY FOR USE OF THE PLATFORM IN THE 12 MONTHS PRIOR TO THE CLAIM.

18.3 Assumption of Risk. You acknowledge that you voluntarily assume all risks associated with your use of the Platform and participation in any on-platform or off-platform interactions, whether or not organized by the Company.
